Terms and Conditions of Sale
These Terms and Conditions of Sale apply to all online and offline sales of products and services by Coldroomshop (“we”, “us”, “our”), a trading name of ABC Project Consultancy Limited. By placing an order with us, the Customer (“you”, “your”) agrees to be bound by these Terms and Conditions. Should you not accept these Terms and Conditions of Sale, you may choose not to use or access the website.
1.Definitions
1.1. “Company” means ABC Project Consultancy Limited, with a trading name of Coldroomshop, which is registered in England with a company number of 12329240, and with a registered address at Unit 3 Binder Industrial Estate, Eland Road, Denaby Main, Doncaster DN12 4HA.
1.2.“Customer” means the buyer company or person who purchase the goods.
1.3.“Goods” mean all products which the buyer agrees to purchase from the company.
1.4.“Made to order products” mean any goods that are manufactured, assembled, or modified specifically to the Buyer’s specifications, including but not limited to bespoke condensing units, evaporators, coldroom doors and sandwich panels.
1.5.“Contract” means all Terms and Conditions which the customer agrees to accept upon purchase of goods.
1.6.“Manufacturer” means the original assembly and supplier company.
1.7.“Personal information” means the details you provide to us upon registration or quote.
1.8.“Price” means the net price for products excluding VAT, insurance and delivery.
1.9.“Website” means the online sales platform www.coldroomshop.co.uk or any future domain variants.
1.10.“Terms” means the Terms and Conditions of Sale (T&C’s)
2.General
2.1.These Terms and Conditions shall apply to all contracts for the sale of goods by Coldroomshop to the Customer, to the exclusion of any other terms the Customer seeks to impose or incorporate.
2.2.No order shall be deemed accepted until confirmed by us in writing. A Contract is formed only once written confirmation is issued.
2.3.All orders, including any amendments and additional terms must be agreed upon in writing by an authorised representative of Coldroomshop.
2.4.All Goods are quoted subject to availability. None of the Goods will be deemed to be guaranteed/reserved for the Customer unless paid in full and secured.
2.5.Orders accepted by the Company will not be cancelled under any circumstances unless agreed in writing by the Company.
2.6.Any advice and application regarding the usage of the Goods must be confirmed in writing by the Company and be provided by an authorised worker.
2.7.While we strive for accuracy, all specifications and descriptions on our website are intended for guidance, and all images are for portrayal purposes only and may be subject to change, therefore the Company encourages Customers to acknowledge the products upon purchasing.
2.8.Any calculation and typographical errors in quote, delivery note, proforma invoice, VAT invoice or any sales publishment will be subject to correction without any liability of the Company.
3.Pricing
3.1.All prices are in GBP (£) and are exclusive of VAT unless otherwise stated. VAT will be added at checkout or on quotation.
3.2.Prices are subject to change without further notice. The price shown at the time of ordering is the price that will be charged.
3.3.Payment must be made in full at the time of order unless a credit account has been established with Coldroomshop.
3.4.Accepted payment methods include major credit/debit cards, PayPal, Apply Pay and bank transfer. Company reserves the right not to prepare and dispatch Goods until full payment has cleared.
4.The Goods
4.1.Details for the Goods will be specified on the website, quote or any sales publishment. It is the Customer’s responsibility to follow the specifications of each product they intend to purchase.
4.2.The Company reserves the right to alter some specifications on the Goods supplied by the Manufacturer.
4.3.The Company will not take any responsibility for the incorrect installation and usage of the Goods. The Goods must be handled by professionals and installed accordingly. The Company will be liable if only a written confirmation of instructions presented and accepted upon request, by the Customer.
4.4.Goods with F-Gas certificate required such as Condensing units, Evaporators and Monoblock units are strictly for professional Refrigeration Engineers holding F-Gas Certification only. The Company shall refuse sale of these items if criteria is not met.
4.5.Goods with F-Gas certificate required such as Condensing units and Evaporators are delivered with positive pressurised nitrogen. The Company
will not take any responsibility for the incorrect release of nitrogen, or any possible harm may cause by negligence of instructions.
4.6.The Company holds the right to ask for Personal information such as evidence of F-Gas certification, company number or VAT registration when deemed necessary.
4.7.When the Buyer is to purchase Goods from the stock, or Goods are to be manufactured on a Made to Order, the Buyer must fully indemnify and hold harmless the Company against liabilities and expenses (including legal fees) arising out of or in connection with any claim that such infringes the intellectual property rights of any third-party Manufacturers.
5.Made to Order Products
5.1.All Made to order products require written confirmation of specifications from the Buyer before manufacturing begins. Company is entitled to present the options upon request, in which Made to order products may have.
5.2.It is the Buyer’s responsibility to ensure that all details provided (including dimensions, finishes, and operating requirements) are complete and accurate. The Company shall not be liable for errors arising from incorrect or incomplete information supplied by the Buyer and will not indemnify any losses which may occur.
5.3.Estimated lead times will be provided at the time of order confirmation but are not guaranteed. Lead times may vary depending on complexity, Manufacturer capacity, shipment process and external factors.
5.4.Delays in production or delivery of Made-to-order products shall not entitle the Buyer to cancel the order or claim compensation unless otherwise agreed in writing at order confirmation stage.
5.5.Orders for made-to-order products are non-cancellable and non-refundable once the order has been accepted by the Company, in writing.
5.6.Any request to amend specifications must be made in writing and is subject to the Company’s approval. Additional charges and extended lead times may apply. The Company is liable to inform the Buyer should amendment of specifications would not be valid due to any reason.
5.7.Made to order products are non-returnable unless they are found to be faulty, damaged, or non-compliant with the agreed specifications at the time of delivery.
5.8.Claims for defects must be reported in writing within the first 48 hours of delivery, supported by photographic evidence and a full description of the issue.
5.9.Any claim, refund or replacement enquiry must be provided to the Company in writing and be authorised by assigning a case number.
5.10.The Company reserves the right to inspect or rectify any issues before offering a replacement or refund.
5.11.The 50% deposit must be paid by the Customer when ordering any Made to order product, unless otherwise agreed in writing. The rest must be paid when the order is ready for collection, before it leaves our premises.
6.Delivery and Collection of Goods
6.1.Delivery charges are calculated at checkout or quoted directly and are confirmed before dispatch.
6.2.All delivery charges are excluded of insurance.
6.3.Next day deliveries except any panel orders should be placed before 12pm when Goods are in stock. Next day deliveries exclude weekends and bank holidays, are applicable to working days only.
6.4.Orders placed after 12am will be processed the next working day. Orders placed on Friday after 12am and over the weekend will be delivered on Tuesday.
6.5.Quoted delivery charges are for UK Mainland only. Deliveries to Highlands, English Islands or Northern Ireland are subject to special pricing.
6.6.Delivery time frame is for UK Mainland only, Highlands excepted. Delivery schedule to Highlands, English Islands or Northern Ireland may have a different delivery schedule than standard.
6.7.Delivery dates are estimates and not guaranteed. The Company will not be liable for any delays caused by courier delays or unforeseen circumstances.
6.8.The Customer is responsible to be present at the delivery address provided at the agreed date of delivery. If the Customer has a missed delivery due to not being present at the address or an equivalent reason, then the Company:
6.8.1.Either shall reorganize the delivery with a new delivery charge,
6.8.2.Or shall cancel redelivery and store the Goods until the Customer arranges their own collection from the Company address. The missed delivery charge is still to be paid by the Customer.
6.9.When items are delivered to the agreed delivery address, it is Customer’s responsibility to provide the necessary workforce to unload, and supplying and operating any equipment, if necessary, such as pallet truck or forklift (if not present in the vehicle).
6.10.The driver is not required to help unloading the vehicle unless otherwise agreed in writing.
6.11.The unloading time at the time of delivery is 1 hour after driver arrives on site. Surcharge per hour may apply if unloading time exceeds the stated time, and all costs that the third-party courier company reflects will be passed on to the customer.
6.12.Collection of Goods from the Company warehouse requires Customer to be present for collection during opening hours, and at least 30 minutes before closing time to collect their Goods.
7.Returns, Refunds, Changes and Cancellations
7.1.Incorrectly ordered Goods may be subject to a restocking fee of up to 25%. Made to order products are strictly non-refundable and noncancellable, only if the criteria are met in clause 5.
7.2.The Company will not accept any returns and changes for coldroom panels.
7.3.Customers have the right to cancel their order within 14 days of delivery in accordance with the Consumer Contracts Regulations 2013. Exemptions apply to Made to Order products which may be found in clause 5.
7.4.All returned Goods must be strictly unused, in original packaging, and in sealed condition. Goods with F-Gas certificate required such as Condensing units, Evaporators and Monoblock units could only be returned if their nitrogen is not released and pipe seals are intact.
7.5.Order cancellation is only valid within 6 hours of order time. Unfortunately, the Company won’t be able to take responsibility for misplaced orders after the first 6 hours of order time.
7.6.Delivery charge for all returned goods is Customer’s responsibility unless the item is faulty or supplied in error.
7.7.To initiate a return, Customers must notify the Company in writing with their order number and reason for return. It is at the Company’s discretion to approve a return.
7.8.To change between different items, return conditions apply and the Customer will be liable to pay the difference if the changed item costs more.
8.Damages, Shortages and Errors
8.1.Any damages, shortages, or incorrect items must be reported within 24 hours of delivery. The Company holds the right to not accept claims made after this time.
8.2.Goods should be inspected upon arrival by the Customer and signed for as “damaged” if any visible damage is present.
8.3.The Company is not liable for loss or damage arising after delivery, and from incorrect storage, handling, or installation by the Customer or third parties.
9.Warranty and Liability
9.1.All Goods except exemptions carry a manufacturers part warranty of 1 year. This typically covers manufacturing defects but excludes wear and tear, misuse, or incorrect installation.
9.2.The Company’s liability is limited to replacement or refund if criteria is met. We are not liable for any indirect or consequential losses.
9.3.Warranty claims must be supported by proof of purchase and images of the issue, and must be reported promptly to the Company.
9.4.Warranty claims due to incorrect installation or misuse of equipment by the Customer or third parties will not be accepted by the Company.
9.5.The Company is not liable to cover any delivery warranty and is not responsible of any claims towards possible losses which may cause during delivery.
9.6.The Company reserves the right to arrange site visits to inspect if a warranty claim is made. If Goods are found not to be eligible for a warranty claim, Company will incur hourly or daily service charges to the Customer.
10.Risks
10.1.The Company shall take no liability after the Goods have been dispatched, during delivery with a third party and/or after collection by the Customer, and carries no responsibility for any risk, which has been passed on to the Customer.
10.2.In the case of Goods to be collected by the Customer, the Company holds responsibility for the Goods until the time of scheduled collection date agreed in writing, and in the case of a missed collection without notice, any risk will be passed on to the Customer.
10.3.The Company shall take no liability of consequences of health hazards which may cause during handling of Goods with F-Gas certificate required such as Condensing units, Evaporators and Monoblock units, especially during releasing of pressurised nitrogen, and we advise any act should be done with due care howsoever and by professionals only.
11.Buyer’s Insolvency
11.1.If the Customer is declared bankrupt or receives and order against them or choose not to pay the full amount required in advance of collecting the Goods, the Company shall choose not to deliver the Goods except an advance payment has been made.
11.2.If the Customer menace or threatens the business in any way to intercept Company to receive the payment, or tries to carry the case further:
11.2.1.The Company mediates to solve the case or reserves the right to carry on with a legal action.
11.2.2.If so, the Company may elect to suspend further business with the Customer.
12.Severability
12.1.If any provision of these Terms is held to be unlawful, void or unenforceable by a court, the validity and enforceability of the remaining provisions will not be affected.
13.Force Majeure
13.1.The Company shall not be liable for any delay or failure to perform due to events beyond our control, including but not limited to natural disasters, strikes, supplier delays, transport issues, or acts of government.
14.Governing Law
14.1.These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England.
14.2.Any disputes shall be subject to the exclusive jurisdiction of the courts of England.
